1. Service Agreement

By engaging LDNAIVA for any services, you accept these terms and conditions. Our services are provided on a professional basis with clear scope, deliverables, and success metrics defined in individual service agreements.

2. Scope of Services

LDNAIVA provides specialized business process outsourcing, automation, and operational support services. All engagements include documented scope, success criteria, and performance metrics. Services are customized based on client needs and industry requirements.

3. Confidentiality & Data Protection

We maintain strict confidentiality regarding all client information, business processes, and data handled during service delivery. All data is encrypted, securely stored, and handled according to applicable regulations (HIPAA, GDPR, industry-specific compliance requirements). Access is limited to authorized personnel only.

4. Intellectual Property

Pre-existing intellectual property of either party remains the property of its owner. Custom work developed specifically for your organization becomes your property upon completion and payment. We may use anonymized case studies to demonstrate expertise.

5. Payment Terms

Payment terms are specified in individual service agreements. Invoices are typically due within 30 days of issuance. Late payments may result in service interruption. We accept major credit cards, wire transfer, and ACH payments.

6. Limitation of Liability

LDNAIVA's liability is limited to the amount paid for services in the preceding 12 months. We are not liable for indirect, consequential, or punitive damages. This limitation does not apply to gross negligence or breach of confidentiality obligations.

7. Service Level Agreements

Specific SLAs are defined in service agreements. We commit to 99.5% uptime for critical services, with detailed escalation procedures for issues. Performance metrics are tracked, reported, and continuously optimized.

8. Termination

Either party may terminate services with written notice as specified in the service agreement, typically 30-90 days depending on service type. Termination results in transition support, data handoff, and knowledge transfer according to agreed procedures.

9. Changes & Modifications

Changes to terms require written agreement from both parties. We may update these terms with 30 days notice. Continued use of services constitutes acceptance of updated terms.

10. Dispute Resolution

Disputes shall first be addressed through good-faith negotiation. If unresolved, disputes are subject to binding arbitration or litigation in accordance with applicable law and jurisdiction specified in the service agreement.
